API Terms of Use

TL;DR

We want you to build great things with our API. Please use it responsibly, don’t break or abuse it, keep your access keys secure, and don’t do anything shady or unsafe with our services. We are always updating our services, and this extends to the API as well. By using the API, you’re agreeing to play fair and follow the rules.

By accessing or using the CorePlan API, you agree to be bound by the Terms of Use set out on this page. If your organisation requires specific terms or amendments, please contact legal@coreplan.io

Use of the API after any update to these Terms constitutes your acceptance of the revised version. Organisational use includes access via automated systems, integrations, or third-party tools or suppliers acting on your behalf.
  1. Background
    1. Spring Cloud Tech Pty Ltd (T/A CorePlan) (ABN: 11 605 787 513) (SpringTech, we, us, our) provides software, services, and products for the purposes of drilling and associated activities, including the application called “CorePlan” and all associated products (Platform).
    2. We may grant users of the Platform access to an application programming interface to enable third party systems to interoperate with elements of the Platform and/or access a range of products and services offered by SpringTech (API).
    3. These terms and conditions (Terms and Conditions) record an agreement between you as a user of the Platform and the API (you, your and User) and us for the purpose of:
      1. your use of the API;
      2. all API-related documentation, software, and materials provided or made available to you in relation to the API (API Materials); and
      3. any data or work product or information which is accessed by, created by or transmitted by you via the API (API Data).
  2. Acceptance of Terms and Conditions
    1. By using the API, you are agreeing to these Terms and Conditions. If you do not agree to these Terms and Conditions, do not access or use the API.
    2. These Terms and Conditions apply continuously and anew each time you use the API. SpringTech reserves the right to make changes to these Terms and Conditions from time to time without notice, and you should check these Terms and Conditions upon each use of the API.
  3. Maintenance and Downtime
    1. From time-to-time SpringTech will conduct preventative and remedial maintenance on the API (Scheduled Maintenance).
    2. SpringTech will endeavour to carry out all Scheduled Maintenance outside usual Business Hours and to give reasonable notice of any planned downtime for the API. However, this may not always be possible. In the event of an emergency, SpringTech may carry out maintenance during usual Business Hours and without first notifying you.
    3. Your access to the API may be affected by SpringTech network or equipment capacity, connection availability, scheduled or unscheduled downtime of the API for maintenance or development purposes, due to interruptions which generally affect the internet, or other reasons.
    4. SpringTech may suspend the API for any one or more periods of time we are unable to provide the API due to a fault or dysfunction with SpringTech servers.
  4. Use of the API
    1. SpringTech grants to you a non-exclusive, royalty-free, revocable, worldwide, non-transferable right to use the API in accordance with these Terms and Conditions.  
    2. To access the API, you may be required to supply the following information:
      1. your name;
      2. your email address;
      3. any other information reasonably required to use the API.
        (User Data)
    3. Failure to supply correct User Data may result in you being unable to use the API as intended.
    4. We may use the User Data for the purpose of providing the functionality of the API and any related purpose. To do so, SpringTech may share the User Data with other parties, including stakeholders and contractors.
    5. Our use of any personal information provided within the User Data will be in accordance with our Privacy Policy available at www.coreplan.io/privacy.
    6. You must not use the API for any unconscionable behaviour or activity, including but not limited to:
      1. engaging in abusive, derogatory, discriminatory, or vexatious behaviour;
      2. engaging in any activity that disrupts or corrupts the API, the Platform or the networks that host the API; or
      3. attempting to hack, reverse-engineer, disable, circumvent, or otherwise gain access to any security, database, or other secure aspect of the API.
    7. You must not modify, adapt or hack the API or modify another website or software so as to falsely imply that it is associated with the API. You must only use the API for its intended purpose. You may not use the API for any illegal or unauthorised purpose, including the transmission of malware. You must not use the API to violate any laws in any jurisdiction, including but not limited to copyright laws. For the avoidance of doubt, you must not infringe upon the copyrights of any other person in using the API.
    8. SpringTech may monitor your use of the API to improve quality, resolve any security issues and verify your compliance with these Terms and Conditions.
    9. You must take your own precautions to ensure that the processes which you employ for accessing the API does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your computer systems. We recommend that you install and use up-to-date anti-virus, anti-spyware and firewall software on your computer systems at all times.
    10. You acknowledge that:
      1. the accuracy, reliability and quality of the API Data provided will inevitably affect the accuracy, reliability and quality of the results generated by the API;
      2. you are solely and exclusively responsible and will check and validate the accuracy, reliability and quality of API Data which is inputted to the API;
      3. the API is a tool and is not intended to replace human judgement therefore, prior to relying on the outputs of the API for any purpose, you are solely and exclusively responsible and will check and validate those outputs.
    11. In addition to any fees that are payable under an agreement between us and you in relation to your use of the Platform and API (Customer Agreement), we reserve the right to, at any time and at our discretion, impose separate fees and charges for your access to and use of the API.
  5. Operation of the API
    1. You warrant that you shall comply fully with all the API operating instructions. Any failure to comply fully with operating instructions may result in the sub-par or faulty performance of the API. SpringTech accepts no liability, and you release SpringTech from any such liability, associated with faults or errors caused by your non-compliance with all operating instructions.
    2. You must secure and prevent unauthorised access to or use of, and any loss of or damage to, the API, the API Data and the Platform.
    3. You must abide by any rate limits set by us from time to time when using the API. Exceeding the established rate limits may result in the temporary suspension of API access. You are responsible for monitoring your API usage and ensuring compliance with these rate limits.
  6. Modifications to the API
    1. We reserve the right to modify, upgrade or discontinue, temporarily or permanently the API and its other products and services with or without notice. We are not obligated to maintain any specific version of the API indefinitely.
    2. It is your responsibility to regularly check for updates and adapt your applications to the latest API version to ensure uninterrupted access and functionality. We shall not be liable for any loss or disruption caused by changes to or discontinuation of any version of the API.
  7. Intellectual Property
    1. Nothing in these Terms and Conditions or otherwise creates an assignment of any rights in the API or the Platform(s) beyond the ability to use it for its intended use.
    2. Nothing in these Terms and Conditions or otherwise creates the right for you to sublicense the API.
    3. You undertake not to reverse engineer, decompile, decrypt, disassemble, replicate, or otherwise copy the API. We reserve all rights to seek compensation, damages, injunctions, or any other remedy available to us at law if any attempt to do so, whether successful or unsuccessful, is made by you or any of your affiliates.
    4. You grant to us a non-exclusive, royalty-free, worldwide, irrevocable, perpetual license to use the API Material and API Data for the purposes of improving our Platform, the API, and any other purpose available to us at law.
    5. You assign absolutely to SpringTech, from the date of its creation, all of the Intellectual Property subsisting in any inventions relating to the API which may be conceived or implemented by SpringTech arising from suggestions, enhancements, improvements, customisation requests, recommendations or other feedback provided by you to SpringTech.
    6. All Intellectual Property and ownership rights subsisting in the API, the data derived from use of the API, and any other documentation, information or materials that are supplied by SpringTech to you, remain our exclusive property.  For the avoidance of doubt, nothing in these Terms and Conditions assigns any ownership rights to you.
  8. Warranties
    1. You represent and warrant that SpringTech will not be liable for any direct or indirect expense, damage or injury (including indirect loss of revenue, profits, goodwill or business opportunity) howsoever caused, including arising directly or indirectly from or in connection with your use of the API.
    2. You warrant that:
      1. you have the authority to enter into and perform your obligations under these Terms and Conditions;
      2. you are responsible for complying with all applicable privacy laws affecting any personal information which you may provide to SpringTech; and
      3. you own or otherwise have the right to grant SpringTech access to the API Data.
    3. The API is made available to you on an “as is” basis. SpringTech make no warranties, representations or conditions of any kind, express, statutory or implied as to:
      1. the operation and functionality of the API;
      2. the accuracy, integrity, completeness, quality, legality, usefulness, safety and IP rights of any of the software content; or
      3. the products and services associated with the API or its content.
    4. Subject to any of the rights you may have under Australian Consumer Protection Law, we excludes to the fullest extent possible all implied terms and warranties, whether statutory or otherwise, relating to the API or any other matter under these Terms and Conditions.
    5. We further disclaim all warranties, express, statutory or implied, including, but not limited to, implied warranties of merchantability, merchantable quality, durability, fitness for a particular purpose and/or non-infringement. No advice or information, whether oral or written, that you obtain from SpringTech shall create any warranty, representation or condition not expressly stated.
  9. Limitation of liability
    1. Your use if the API is at your sole risk. SpringTech disclaim all liability for any:
      1. indirect, special, incidental, punitive, exemplary, reliance or consequential damages;
      2. loss of profits or revenue;
      3. business interruption;
      4. network interruptions;
      5. computer failure;
      6. loss or damage to reputation or any third party;
      7. loss or corruption of information or any data;
      8. unauthorised access to records;
      9. unlawful third-party conduct;
      10. all liability for any loss or damage, relating to or arising out of your use of the API.
    2. You will be solely responsible for any resulting loss or damage, including but not limited to, any loss of data or damage to your computer(s) or networks from viruses that may be downloaded to your computer while using the API or the Platform. Some jurisdictions do not allow the exclusion of certain warranties, the limitation or exclusion of implied warranties, or limitations on how long an implied warranty may last. If you reside in such a jurisdiction, the above limitations shall apply to you to the fullest extent permitted under applicable law.
  10. Indemnity
    1. You agree to indemnify, defend and hold harmless SpringTech and its officers, directors, employees, agents, and suppliers from and against all losses, expenses, damages and costs, including solicitor’s fees, from any claim or demand made by any third party due to or arising out of:
      1. your use of API in any manner that is not consistent with these Terms and Conditions or a Customer Agreement;
      2. violation of these term or any activity conducted on your account by you or by anyone accessing the API;
      3. failure to comply with relevant and applicable legislation (including applicable data protection laws).
    2. SpringTech reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify SpringTech, and you will cooperate with SpringTech defence of these claims. You will not settle any matter without SpringTech prior written consent. SpringTech will use reasonable efforts to notify you of any such claim and action.
  11. Transfer of rights and obligations
    1. These Terms and Conditions are binding on you and SpringTech and each of the parties respective successors and assignees.
    2. You may not transfer, assign, charge or otherwise dispose of your rights or liabilities under these Terms and Conditions, or any of your rights or obligations arising under it, without SpringTech prior written consent.
    3. SpringTech may transfer, assign, charge, sub-contract or otherwise dispose of any of SpringTech rights or obligations arising under these Terms and Conditions, at any time without your prior consent.
  12. Force Majeure Events
    1. We will not be liable or responsible for any failure to perform or delay in performance of any of our obligations under these Terms and Conditions that is caused by events outside SpringTech control (Force Majeure Event).
    2. A Force Majeure Event includes any act, event, non- happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
      1. strikes, lock-outs or other industrial action;
      2. civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
      3. fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic or other natural disaster;
      4. impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
      5. impossibility of the use of public or private telecommunications networks;
      6. epidemic, pandemic or other health emergency (whether declared or not), including without limitation lockdowns or any other restrictions imposed as a result of the COVID-19 pandemic or any other pandemic or epidemic at any time;
      7. and the acts, decrees, legislation, regulations or restrictions of any government.
    3. SpringTech’s performance under these Terms and Conditions is deemed to be suspended for the period that the Force Majeure Event continues, and SpringTech will have an extension of time for performance for the duration of that period.
  13. Notice
    1. Any notice, consent or agreement given in connection with these Terms and Conditions must be in writing and in English and may be given by an authorised representative of the sender.
    2. Notice may be given to you:
      1. personally;
      2. by leaving it at your address last notified;
      3. by sending it by prepaid mail to your address last notified;
      4. through functionality provided by the Platform; or
      5. by sending it by email to your email address last notified.
    3. Notice is deemed to be received by you:
      1. when left at your address;
      2. if sent by prepaid mail, three business days after posting or five business days in the case of a notice sent to or from a place outside Australia;
      3. if sent by email or through the Platform, at the time and on the day shown in the sender’s transmission report.
  14. Termination
    1. SpringTech may terminate these Terms and Conditions, and prevent your access to the API, if you:
      1. fail to make any payment to SpringTech when due, whether in relation to the API, pursuant to a Customer Agreement, or otherwise;
      2. breach a clause of these Terms and Conditions, or the terms of any other agreement between you and us, which is not capable of remedy or, if capable of remedy, is not remedied for 7 days after we put you on notice of the breach;
      3. act, or has acted, in a way that has or may negatively reflect on or impact SpringTech, our suppliers, or our customers;
    2. On termination of these Terms and Conditions, SpringTech has no obligation to provide and maintain access the API to you, you must immediately cease using the API, and you agree to destroy all adaptations or copies of the API or return them to SpringTech.
  15. General
    1. To the extent permitted by law, we reserve the right to create, collect and / or store any metadata resulting from your use of the API. To the extent permitted by law, we may use metadata for a variety of functions including (but not limited to) conducting investigations, helping us manage and administer the API, for purposes of search engine optimisation and to drive traffic to the API.  To the extent permitted by law, we reserve the right to share your information (including metadata) with government agencies and authorities to the extent this is required or requested of us.
    2. We may use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, payment gateway and related technology required to run the API.
    3. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any of SpringTech employees, members, representatives, or officers will result in immediate termination of your access to the API.
    4. SpringTech failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. No oral agreements or representations will be valid or binding on the parties unless expressly contained in this Terms and Conditions or by a written amendment to these Terms and Conditions.
    5. Any part of these Terms and Conditions that is invalid, prohibited or not enforceable will not void the balance of these Terms and Conditions.  All other parts will be enforced without regard to the invalid provision and continue to be valid in accordance with their terms.
    6. SpringTech make no representations or warranties that the content of the API complies with the laws (including intellectual property laws) of any country outside of Australia.

    8. These Terms and Conditions are governed by the laws of the Western Australia in Australia. Disputes arising from your use of the API are exclusively subject to the jurisdiction of the courts of Western Australia.
